Zarząd spółki Grupa Żywiec z siedzibą w Żywcu _"Emitent"_ informuje, iż w dniu 12 listopada 2018 r., pomiędzy Emitentem, a Chicago Poland Investment Group, LLC _"Sprzedający"_ została zawarta umowa sprzedaży udziałów _"Umowa Sprzedaży"_, dotycząca nabycia przez Emitenta od Sprzedającego 100% udziałów _"Udziały"_ w kapitale zakładowym spółki Browar Namysłów Sp. z _‘’Transakcja’’_. Cena podstawowa Transakcji została ustalona na kwotę 500 mln zł, która będzie podlegała korekcie o nakłady kapitałowe, faktyczny dług netto oraz kapitał obrotowy, wyliczone po zamknięciu Transakcji i nabyciu własności Udziałów a także przy uwzględnieniu ostatecznego wyniku finansowego Spółki. Transakcja zostanie w całości sfinansowana ze środków zewnętrznych. Zamknięcie Transakcji i nabycie własności Udziałów uzależnione jest w szczególności od spełnienia się warunku zawieszającego uzgodnionego w Umowie Sprzedaży, polegającego na uzyskaniu przez Emitenta zgody Prezesa Urzędu Ochrony Konkurencji i Konsumentów na przedmiotową koncentrację.
